Valley Beverage Supply Inc operates as a wholesale distributor and reseller of finished beverage products. We source from certified wholesalers and suppliers and resell to local retailers and commercial accounts. We do not claim to manufacture, roast, or produce the goods we sell.
1. Acceptance of Terms
By accessing this website or placing a wholesale order with Valley Beverage Supply Inc (“Valley,” “we,” “us”), you agree to these Terms of Service and our Privacy Policy and Refund Policy.
2. Business Model
Valley is a middleman distributor. We:
- Purchase coffee, tea, sugar, creamer, powdered drink mix, and related supplies from certified wholesale suppliers
- Resell those finished goods to retailers, cafés, hotels, offices, and food service operators
- May coordinate optional white-label / co-pack options through independent third-party producers — production remains with those third parties
Valley does not operate a roasting plant, blending facility, or manufacturing line.
3. Eligibility & Wholesale Accounts
Our catalog and pricing are intended for commercial buyers. We may require business information (company name, tax ID, shipping address) before opening a wholesale account or fulfilling larger orders. We reserve the right to refuse service where orders appear inconsistent with wholesale redistribution.
4. Orders, Pricing & Payment
- Quotes and website descriptions are informational; final pricing is confirmed on invoice or written quote
- Payment terms (prepaid, net-15, net-30, etc.) are set per account and stated on the invoice
- Title and risk of loss transfer according to the shipping terms on your invoice (e.g., FOB shipping point or delivered)
- Taxes, duties, and carrier fees may apply and are the buyer’s responsibility unless otherwise stated
5. Product Information
Product descriptions, brew ratios, pack sizes, and allergen information are provided for commercial planning and are based on supplier documentation. Formulations and packaging may change when upstream suppliers update products. Always review labels on received goods.
6. Delivery
Delivery timeframes for Northern Wyoming routes are estimates. Delays caused by weather, carriers, supplier shortages, or events beyond our reasonable control do not constitute a breach of these Terms. Will-call pickup may be available for Buffalo-area accounts.
7. White-Label / Co-Pack Coordination
If you request branded packaging, Valley may introduce or coordinate with third-party roasters or co-packers. Those producers perform roasting and packaging. Minimums, lead times, and artwork approval are governed by the third-party producer’s terms in addition to Valley’s wholesale terms.
8. Intellectual Property
Website content, branding, and materials owned by Valley remain our property. Third-party brand names and trademarks belong to their respective owners and are used only to identify products we redistribute.
9. Limitation of Liability
To the fullest extent permitted by law, Valley’s total liability arising from any order is limited to the amount you paid for the specific products giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
10. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Disputes shall be resolved in courts located in Wyoming unless both parties agree otherwise in writing.
11. Changes
We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the latest revision. Continued use of the site or placement of new orders after changes constitutes acceptance of the updated Terms.
